    Question Partly Rhetorical

    If one purchases software and the agreement reads that the end user promises the Software vendor (name here) that he will only use the software for his own purposes.
    The vendor is a registered company, at some time, the vendor closes his web site and declares that the company (name) is no longer in business and no longer supporting the s/w.
    In other words, no longer exists.
    Is there anything that still hold the agreement binding?
    To me it seems a moot point, as at this point the vendor will not suffer any financial loss if the s/w is copied?

    If Newfangled Solutions LLC (or whomever succeeds us) goes defunct, and there is no longer any way to receive new licenses, everyone is allowed to distribute their last license in perpetuity.

    I don't know the legal answer, but as long as we are waxing philisophical I'd ask if the company is defunct, then who would register a complaint? It's kind of a tree falling in a forest scenario.

    True, but although the company is under, if the person that owned the company and wrote the program is still around, it could be them, whether they have a legal leg to stand on is another matter?

    if you really want to be watertight contact the administrator
    offer them a few dollars for the rights
    get it in writing then you having something that will stand up in court
    send the mail registered in case they don't reply - you can demonstrate best endeavours
